When a crypto platform collapses, two customers with identical balances can meet two very different fates. One lifts his tokens out of the estate and walks away whole. The other queues behind the unsecured creditors and hopes. The difference is rarely in the technology. It is in a question the law always asks and the market almost never does: did the holder own a thing, or merely hold a claim against an issuer?

That question opens Digital Assets, written by our Founding Partner, Jorge Constantino Colindres, attorney at law and, since 2022, Technical Secretary of Próspera ZEDE, where he led the design, deployment and operation of the regulatory framework of the Roatán International Financial Centre (RIFC). The book is the first single volume of its kind to follow every major type of digital asset through the four disciplines that decide its fate: property law, financial regulation, accounting and bank capital.

Two questions, one framework

The method fits in one sentence: ask what the holder owns, ask which rulebook governs, and the accounting, the capital and the insolvency outcome follow. Every token must be classified twice, because private law and regulatory law ask different questions and their answers do not track each other. On that insight the book builds a three-level taxonomy: two genera, ten functional categories, five families. Native protocol tokens and digital commodities, payment stablecoins, asset-referenced tokens, algorithmic and synthetic tokens, commodity-backed tokens, tokenised securities, utility tokens, NFTs, fiscal and entitlement tokens, and central bank digital currencies each receive their own chapter, with verbatim, quotation-ready definitions from nineteen jurisdictions and the global standard setters: UNIDROIT, the FATF, the Financial Stability Board, the Basel Committee and the SEC.

Published at exactly the right moment

The Basel cryptoasset standard, SCO60, has been in force since 1 January 2026; under it, an unhedged Group 2b token costs a bank roughly one dollar of its own capital for every dollar of exposure. The SEC’s Release 33-11412 became live interpretive guidance in March 2026, with the CLARITY Act still pending. The GENIUS Act has rewritten where a payment stablecoin holder ranks in an insolvency. US GAAP now marks qualifying crypto assets to market through earnings under ASC 350-60, while IFRS still routes the ordinary holder through IAS 38. The asset class those rules govern stood at roughly USD 2.3 trillion in mid-2026. Professionals who advise on it used to need nineteen references. Now they need one.

Forged where the rules were actually written

This book was not written from a library. It began as a working paper at a desk in Roatán, inside a financial centre that did not exist a few years ago, as its author redesigned the RIFC for global interoperability: definitions that track the major jurisdictions, accounts accepted under both IFRS and US GAAP, licensed entities connected to the same financial rails as the established centres. “The reference I needed to assess what each asset is, in property, in regulation, in the accounts, did not exist, so I created one,” Colindres writes in the preface. The framework was forged in Honduras. Its logic is portable anywhere.

The questions the book answers in principle are the questions our firm answers for clients every day.
